These terms govern use of the business applications provided by Vivid Software LLC ("Vivid Software", "we"). By creating an account or using the software, the business ("you", "Customer") agrees to them.
Access to our software for your business operations, for as long as your subscription is current. We may improve, change or retire features; if a change materially reduces what you receive, we will tell your account administrators.
You decide who at your business gets access and at what level. You are responsible for what your administrators and staff do in the account, and for keeping credentials and PINs private. Tell us promptly if you believe an account has been compromised.
You warrant that before entering any employee's mobile number into the software, you have that employee's consent to receive account setup and PIN reset text messages, and that the number belongs to that employee. If an employee asks you to stop, remove their number from your account. We send transactional messages only — never marketing. See our Messaging Policy and Consent.
Your business records remain yours. We use them only to run the service for you, as described in our Privacy Policy. We do not sell them and we do not use them to train models for other customers. You may export your data at any time while your account is active.
Do not use the software to break the law, infringe anyone's rights, send unsolicited marketing, attempt to access another business's data, or interfere with the service. We may suspend an account that does.
Subscription fees are as agreed with you and are billed in advance. Fees are non-refundable except where required by law. We will give notice before any price change takes effect.
We work to keep the service running and secure, but it is provided on an "as is" basis and we do not guarantee uninterrupted availability. Planned maintenance is announced in advance where practical.
To the extent permitted by law, Vivid Software is not liable for indirect, incidental or consequential damages, or for lost profits or lost data. Our total liability for any claim is limited to the fees you paid us in the twelve months before the claim arose. Nothing here limits liability that cannot lawfully be limited.
You may cancel at any time; access continues to the end of the paid period. We may suspend or end an account for non-payment or breach of these terms. After termination we will make your data available for a reasonable period, then delete it.
We may update these terms; material changes will be notified to account administrators. These terms are governed by the laws of the State of Florida. Questions: hello@vsbie.com.
